These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Basis LLC (“Basis,” “we,” “us,” or “our”) governing your purchase and use of the Basis surf paddle training device (the “Device”), access to our online community (“Community”), and any other goods or services made available through our website or platform (collectively, the “Services”). By accessing or using our Services, you agree to these Terms. If you do not agree, you must discontinue use immediately.
1. Eligibility
1.1 Age Requirement:
You must be at least 18 years old to purchase the Device, create an account, or access the Community. Minors may only use the Services under the supervision of a parent or legal guardian who agrees to these Terms.
1.2 Jurisdictional Restrictions:
The Services are not intended for use in jurisdictions where they are prohibited. By accessing the Services, you represent and warrant that your use complies with applicable laws in your jurisdiction.
2. Use of the Device
2.1 Proper Use:
The Device is intended for surf paddle training and should only be used as directed in the provided user manual. Failure to follow instructions may result in injury or property damage.
2.2 Health Disclaimer:
You acknowledge that the Device is not a medical device. Consult your physician before using the Device if you have pre-existing medical conditions, injuries, or concerns about physical activity.
2.3 Warranty:
Basis provides a limited warranty for the Device. This warranty does not cover misuse, unauthorized modifications, or normal wear and tear. Warranty claims are subject to the terms outlined in our Limited Warranty.
3. Online Community Subscription
3.1 Membership Benefits:
The Community subscription includes access to video courses, forums, and other resources designed to support surf paddle training and fitness goals.
3.2 Subscription Term and Renewal:
Subscriptions are billed on a quarterly basis and renew automatically unless canceled prior to the renewal date. By subscribing, you authorize Basis to charge your payment method for the applicable fees at each renewal.
3.3 Cancellation:
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period.
3.4 Refunds:
Subscription fees are non-refundable except as required by applicable law. Users residing in the European Union (“EU”) may cancel their subscription within 14 days of purchase for a full refund, provided no digital content has been accessed.
4. User Accounts
4.1 Account Creation:
Users must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
4.2 Account Suspension or Termination:
Basis reserves the right to suspend or terminate your account without prior notice for violations of these Terms, misuse of the Services, or any conduct detrimental to the Community.
5. User-Generated Content
5.1 Ownership and License:
You retain ownership of the content and ideas you upload to the Community (“User Content”). However, by submitting User Content, you grant Basis a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, distribute, display, and modify such content for purposes related to the Community and Services.
5.2 Prohibited Content:
You agree not to upload content that:
(a) Violates any applicable laws or regulations;
(b) Contains harmful, obscene, or defamatory material; or
(c) Infringes on the intellectual property or privacy rights of others.
5.3 Moderation:
Basis reserves the right to review, edit, or remove User Content at its sole discretion if it violates these Terms or is otherwise deemed inappropriate.
6. E-Commerce and International Sales
6.1 Pricing:
All prices are listed in USD and may include applicable taxes, duties, or fees. Users are responsible for any additional taxes or import duties imposed by their local governments.
6.2 Shipping:
Delivery times may vary depending on location. Basis is not liable for delays caused by customs or other unforeseen circumstances.
6.3 Returns and Refunds:
Goods may be returned within 30 days if unused and in their original condition.
7. Privacy and Data Protection
7.1 Data Collection and Use:
Basis collects and processes user data in accordance with our Privacy Policy. By using our Services, you consent to the collection, use, and sharing of your data as described in the Privacy Policy.
7.2 Compliance with Global Privacy Laws:
Basis complies with global data protection regulations, including the General Data Protection Regulation (GDPR) for EU residents and the California Consumer Privacy Act (CCPA) for California residents.
8. Intellectual Property
All content provided by Basis, including but not limited to video courses, forums, and training materials, is protected by copyright and other intellectual property laws. Users may not copy, distribute, or create derivative works of such content without prior written permission from Basis.
9. Limitation of Liability
To the maximum extent permitted by law:
(a) Basis is not liable for indirect, incidental, or consequential damages, including loss of profits or data, arising from the use of the Services; and
(b) Basis’s total liability is limited to the amount you have paid to Basis in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Basis, its affiliates, and its officers, directors, employees, and agents from and against any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any rights of a third party.
11. Governing Law and Dispute Resolution
11.1 Governing Law:
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of laws principles.
11.2 Arbitration:
Disputes arising under these Terms will be resolved through binding arbitration in Brooklyn, United States, in accordance with the rules of the American Arbitration Association. Residents of the EU may submit disputes to the European Commission’s Online Dispute Resolution platform.
12. Modifications to Terms
Basis may modify these Terms from time to time. Any significant changes will be communicated to you via email or the Community platform. Continued use of the Services constitutes acceptance of the revised Terms.
